Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the websites, software applications, and other services (collectively, the "Services") provided by Slashmarket, LLC ("Slashmarket," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms, which incorporate by reference our Privacy Policy and any other policies, rules, or agreements posted below or within the Services.

These Terms are a binding agreement between you and Slashmarket.

Please note that these Terms include an Arbitration Agreement, which, with limited exceptions, requires you to submit any claims against us to final and binding arbitration. This means that unless you opt out of the Arbitration Agreement, you may only pursue claims against us on an individual basis and not as a plaintiff or class member in any class or representative action or proceeding. 2. Eligibility

By using the Services, you represent and warrant that:

  • You are at least 18 years old or the legal age of majority in your jurisdiction.
  • You have the legal capacity to enter into a binding agreement.
  • You will comply with all applicable local, state, national, and international laws and regulations.
  • You may not use the Services if prohibited by law in your jurisdiction.

If you are accessing the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" refers to both you as an individual and the organization you represent.

3. About Slashmarket

The Services provide a platform for users to interact with each other and to post, search, or browse goods and services for sale ("Advertised Items"). Advertised Items may be offered by users of the Services or third-party sellers (collectively, "Sellers"). Some listings may reflect a Seller's intent to trade, exchange, or give away the Advertised Items. For the purposes of these Terms, "sell" or "sale" shall refer to any type of transaction or transfer of ownership involving the Advertised Items, including sales, trades, and giveaways, whether for payment or not.

Slashmarket does not facilitate or participate in any transactions between buyers and Sellers, nor do we pre-screen users, Sellers, or the content they provide. As a result, Slashmarket has no control over, and you agree that Slashmarket is not responsible or liable for:

  • The truthfulness or accuracy of listings advertised on the Services.
  • The quality, authenticity, safety, legality, availability, or delivery of Advertised Items.
  • The ability of Sellers to sell Advertised Items or the ability of buyers to complete purchases.
  • The truthfulness or accuracy of personal information provided by users.
  • Any content posted by users.

Slashmarket is not a party to any interactions, transactions, or agreements you may conduct with other users or Sellers. We strongly encourage you to exercise caution and common sense when using the Services. While Slashmarket strives to maintain a safe and reliable platform, you acknowledge and agree that your use of the Services and your interactions with other users and third parties are entirely at your own risk.

4. Accounts

To use certain features of the Services, you may be required to create an account. By creating an account, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the confidentiality and security of your account credentials, and promptly notify us of any unauthorized access to or use of your account.
  • Accept full responsibility for all activities conducted under your account.

Unless expressly permitted by Slashmarket, you may not create multiple accounts. You are also prohibited from using another user's account, or lending, transferring, or selling your account.

We reserve the right to suspend, restrict, or terminate your account at our sole discretion if we determine that you have violated these Terms or engaged in unauthorized or unlawful activity. Termination does not entitle you to any refunds for fees paid for Services, except as required by law.

5. Use of the Services

You must use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Post or transmit any content that is illegal, defamatory, offensive, misleading, harmful, or otherwise violates our content policies or guidelines.
  • Engage in or promote prohibited activities, including scams, spam, or illegal transactions.
  • Violate or infringe upon any rights of publicity, privacy, copyright, trademark, or other intellectual property rights of others.
  • Collect personally identifiable information about other users without their consent.
  • Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
  • Use the Services for purposes for which they are not designed or intended.
  • Interfere with or disrupt the operations, servers, or networks of the Services.
  • Copy, reproduce, distribute, modify, create derivative works of, translate, reverse engineer, decrypt, decompile, or disassemble any portion of the Services.
  • Send automated, unsolicited, or unauthorized messages, listings, or promotional materials.
  • Use any scraper, spider, crawler, bot, robot, or other automated means to access, copy, collect, or monitor any portion of the Services, or the data available on the Services.
6. Listings

By listing Advertised Items on the Services, you represent and warrant that:

  • You have the legal right to sell the Advertised Items.
  • The listing accurately describes the Advertised Items, including their price, pictures, specifications, condition, availability, location, and any other terms or conditions associated with the sale.
  • You will fulfill all obligations related to the sale in a timely and professional manner.

You agree to adhere to any listing policies or guidelines set forth by Slashmarket, including our Prohibited Content policy and Listing Rules, and acknowledge that we may remove or modify listings that violate these Terms and guidelines.

6.1 Dispute Resolution

In the event of a dispute between buyers and Sellers, we encourage both parties to communicate directly to reach a resolution. Slashmarket serves solely as a platform for communications and discovery of Advertised Items. We do not mediate or intervene in disputes between users or third parties.

7. User Content

The Services allow users to post, upload, share, or otherwise make available content, including but not limited to photos, videos, comments, text, links, product details, and other materials (collectively, "User Content").

By posting User Content, you represent and warrant that:

  • You have all necessary rights and permissions to post the User Content, including intellectual property rights.
  • The User Content complies with all applicable laws and does not infringe upon the rights of any third party.

You retain ownership of your User Content but grant Slashmarket a perpetual, irrevocable, non-exclusive, royalty-free, transferable, sublicensable, and worldwide license to use, copy, modify, store, display, create derivative works of, publish, and distribute your User Content for the purposes of operating, promoting, and improving the Services, as well as researching and developing new products and services.

You acknowledge and agree that you are solely responsible for the User Content you post and any loss or damage arising from it.

We reserve the right, at our sole discretion, to remove or modify any User Content that violates these Terms or is otherwise objectionable.

8. Third-Party Content

The Services may contain links to third-party websites, as well as product descriptions, images, pricing, seller information, and other content associated with such links (collectively, "Third-Party Content").

Some links may be affiliate links, meaning we may earn a commission if you make a purchase through them.

We do not assume responsibility for Third-Party Content or the policies, products, and services of any third-party website. Your use of Third-Party Content is at your own risk, and you are encouraged to verify details directly on the respective third-party website before proceeding with any transactions.

Third-Party Content presented on the Services is aggregated and made available by Slashmarket and its users for search, convenience, and informational purposes only. All Third-Party Content remains the property of the original third-party website or its respective owners.

If you are a content owner and believe your material has been indexed inappropriately or wish for it to be removed, please contact us with the necessary details, and we will review and address your request promptly.

9. Our Content and Intellectual Property

You may not copy, distribute, repurpose, or create derivative works of any content found on the Services, including other users' User Content and Third-Party Content, without express written permission from the respective owner or Slashmarket. All intellectual property rights, including copyrights, patents, trademarks, and trade secrets, related to the Services are the exclusive property of Slashmarket and remain confidential and proprietary. Unless expressly stated in these Terms, no intellectual property rights are granted to you, and all such rights are reserved by Slashmarket.

The Services may include third-party software governed by open-source or third-party license terms ("Third-Party Software"). Your use of Third-Party Software is subject to these license terms, including any acknowledgments, disclaimers, or other conditions. In the event of a conflict between these Terms and the terms of the third-party or open-source licenses, the latter shall govern your use of the relevant Third-Party Software. The Services and their components shall not be considered open-source or publicly available software under any circumstances.

You are not authorized to use Slashmarket's trademarks in advertising, publicity, or any other commercial context without obtaining prior written consent from us.

10. Privacy and Data Collection

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Services, you consent to our data collection practices as outlined in the Privacy Policy.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any violation of these Terms or other reasons deemed appropriate.

12. Disclaimer of Warranties

We provide the Services "as is" and "as available" without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that: (a) the use of the Services will be secure, timely, uninterrupted or error free; (b) the Services will meet your requirements or expectations; (c) errors or defects in the Services will be corrected; or (d) the Services and the servers that make them available are free of viruses or other harmful components.

13. Limitation of Liability

To the maximum extent permitted by law, Slashmarket shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or other damages arising from your use or inability to use the Services, even if we have been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Slashmarket, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Services, violation of these Terms, or infringement of any intellectual property or other rights of third parties.

15. Governing Law and Legal Disputes

These Terms are governed by and construed in accordance with the laws of the State of Florida, USA, excluding its conflict of laws principles. Except as provided in the arbitration provisions below, any disputes arising between you and Slashmarket under these Terms shall be resolved exclusively in the state or federal courts located in Florida.

15.1 Arbitration Agreement

Unless you opt out as provided below, you agree to resolve any claims or disputes arising out of or relating to these Terms or the Services between you and Slashmarket through final and binding arbitration, conducted under the rules of the American Arbitration Association. By agreeing to arbitration, you waive your right to participate in any class actions or collective proceedings.

15.1.1 Exemptions from Arbitration

The following claims are exempt from arbitration and may be resolved in the state or federal courts located in Florida:

  • Claims eligible for small claims court.
  • Claims seeking injunctive relief.
  • Claims related to intellectual property disputes.

15.1.2 Opt-Out Procedure

You may opt out of this Arbitration Agreement by sending us a written notice via email to: [email protected]. The opt-out notice must:

  • Be received within 30 days of the date you first access the Services.
  • Include "Legal Notice: Arbitration Opt-Out" in the email subject line.
  • Include your full name, address, contact information, and any account details or identifiers necessary for us to verify your opt-out request.

17. Miscellaneous
  • These Terms, along with all other policies incorporated by reference, constitute the entire agreement between you and Slashmarket and supersedes all prior understandings and agreements between you and Slashmarket.
  • If any portion of these Terms are found to be invalid or unenforceable, then that portion will be severed and the remaining portion will remain in full force and effect.
  • We may update or modify these Terms at any time by posting them on the Services. Changes will be effective at the time of posting. Your continued use of the Services after any changes to these Terms constitutes your acceptance of the updated Terms.
  • If you are a California resident, in accordance with Cal. Civ.
